1. The agreement

These terms are an agreement between [Company legal name] ([ABN]), [address] ("Proven Praise", "we") and the business that uses Proven Praise ("you"). When you make an account, you accept these terms. The person who makes the account must have the authority to accept these terms for the business.

2. The service

Proven Praise collects video and text testimonials from customers who paid your business through Stripe. Proven Praise makes captioned clips, signs a verification record, and gives you widgets to show approved testimonials on your website.

  • Proven Praise connects to your Stripe account with read-only access to customers and charges. It never asks for write access.
  • You approve each testimonial before it goes public. You can reject any testimonial.
  • The "Verified customer" badge stays on every plan. You cannot remove or hide it on a Proven Praise clip.

3. Our rule for AI

The AI only selects and cuts. It never writes, changes or generates a customer's words, voice or face. You must not use Proven Praise output, or edit it outside Proven Praise, to change the meaning of what a customer said while you keep the badge or a link to the verification page.

4. Acceptable use

You must not:

  • Make, buy or post fake testimonials, or testimonials from people who are not real customers.
  • Offer a reward, discount or other incentive for a testimonial without clear disclosure. If you offer an incentive, you must show the disclosure clearly next to the testimonial. You must not make an incentive depend on a positive opinion.
  • Ask your staff, family or related parties to send testimonials as customers without disclosure.
  • Put a badge, a clip or a verification link next to content that Proven Praise did not verify.
  • Use a testimonial in a place that the customer did not consent to (website, social media or ads).
  • Show a testimonial after the customer withdraws it.
  • Use Proven Praise to send emails to people who did not pay you, or to send more than the request and the one reminder.
  • Try to get around plan limits, security controls or the signature system.

5. Consumer law on testimonials

You are responsible for how you use testimonials. You must obey the consumer and advertising laws that apply to you. Examples are the US Federal Trade Commission rule on consumer reviews and testimonials (16 CFR Part 465) and the Australian Consumer Law. Proven Praise helps you show that a testimonial comes from a real paying customer. It does not make your marketing legal.

The verification page tells visitors that your business chose which testimonials to show. It also shows how many testimonials you received and how many you show.

6. Your data and customer data

  • You own your data. You give us the rights we need to run the service.
  • For customer data, you are the controller and Proven Praise is the processor. The data processing agreement is part of these terms.
  • You must have a lawful basis to give Proven Praise your customers' names and emails, and to ask them for testimonials. You must tell customers about this in your own privacy policy.
  • The customer keeps the rights in their testimonial. The customer gives you a licence to use it only in the places they consented to, until they withdraw it. [Lawyer: confirm the licence terms between the customer and the business.]

Read our privacy policy for how we handle data.

7. Plans, payment and cancellation

  • Plans and limits are on the pricing section of the home page.
  • Stripe processes payments for Proven Praise plans. Monthly and yearly plans renew until you cancel.
  • You can cancel at any time in the billing portal. The plan stays active until the end of the paid period.
  • The Founding lifetime plan is a one-time payment. It gives Starter features with 10 new video testimonials per month for the life of the service. [Lawyer: define "lifetime" and what happens if the service closes.]
  • When you reach a plan limit, Proven Praise holds new requests until the next month or until you upgrade.
  • Refunds: [refund policy]. Prices: [state if prices include tax].

8. Closing your account

You can close your account at any time by email to [contact email]. We can suspend or close an account that breaks these terms. After closing, we delete your data as the privacy policy and the DPA describe.

9. Service availability

We try to keep Proven Praise available, but we do not promise that it never stops. Proven Praise depends on providers such as Stripe, Mux and Cloudflare. [Lawyer: add warranty disclaimers that are permitted under the Australian Consumer Law.]

10. Liability

[Lawyer: add limitation of liability and indemnity clauses.]

11. Changes to these terms

If we change these terms, we tell you by email at least [number] days before the change starts.

12. Governing law
